SANDALS RESORTS FLYAWAY OFFICIAL SWEEPSTAKES RULES Introduction By entering into any Lorino Communications Limited Liability Company d/b/a Throwback Brands (hereafter referred to as “Sponsor” or “Administrator”) sponsored Sweepstakes, each participant (“Participant”) agrees to abide by these Official Sweepstakes Rules and the decisions of Sponsor, such decisions which are final and binding in all respects. NO PURCHASE IS NECESSARY TO ENTER OR WIN. PURCHASE OF ANY PRODUCTS OR SERVICES DOES NOT ENHANCE CHANCES OF WINNING. Eligibility The Sweepstakes is open to individuals who are both 18 years of age of older and legal residents of the United States on the entry date may enter at the time of entry. Employees, officers, directors, or agents of Sponsor or any of Sponsor’s partners, related companies, agencies, or agents, including Unique Travel Corp and Sandals Resorts, as well as the immediate family (defined as spouse, parents, siblings, children, and grandparents) and same household members of any such employee, officer, director, or agent, are not eligible to participate. All applicable federal, state, and local laws and regulations apply. Void where prohibited or restricted by law. How to Enter Each day, beginning on September 23, 2024 through October 6, 2024, listen right at the beginning of the show on Throwback Nation Radio for the "ESCAPE TO SANDALS" song announcement of the night and enter it at www.throwbacknationradio.com/contests. Fill in all the required information. Sponsor will not consider incorrect, fraudulent, incomplete, late, or otherwise nonconforming entries or entries that are intended to annoy, abuse, threaten, or harass any person or entity in any way. Limit of one (1) entry per email. Any entrant using fraudulent means to participate in the Sweepstakes will be disqualified and may be guilty of violating applicable criminal laws. All entries, once provided, are Sponsor’s sole and exclusive property. Eligibility is at the exclusive discretion of Sponsor, and Sponsor shall be entitled to reject any entrant for any reason or no reason at all without having to provide an explanation. Sponsor reserves the right, in its sole discretion, to cancel, suspend, or terminate the Sponsor for any reason and without prior notice to any Participant. In such instance, Sponsor may, if and as appropriate, select a winner using reasonable means that are materially consistent with the Sweepstakes. Provision of Materials and Information/Intellectual Property By entering into the Sweepstakes, Participant represents and warrants as follows: (1) that it fully owns or has properly licensed whatever materials or information it submits hereunder in connection with the Sweepstakes and can make such submissions without violating any applicable law, agreement with any third-party, and/or third-party right of any kind (including without limitation any intellectual property, data protection, privacy, or publicity right); and (2) that any and all materials or information provided by it hereunder shall be true and correct in all respects. Furthermore, without limitation on anything set forth herein to the contrary, Sponsor shall have the irrevocable, transferable, and fully sublicensable right and license (but not the obligation) to exploit any and all such materials or information in any manner it so elects to promote the Sweepstakes, its business, brand, products, and/or services, throughout the world in perpetuity, and in any and all media, now or hereafter known. Random Drawing; Prizes; Notifying Prize Winners One random drawing will be conducted on or about September 30, 2024, from all entries received between September 23, 2024 and September 29, 2924, and then another random drawing will be conducted on or about October 7, 2024, from all entries received between September 30, 2024 through October 6, 2024. Sponsor to select one (1) winner from each drawing for up to a total of two (2) winners (each a “Winner”), subject to compliance and eligibility with these Sweepstake Rules. Odds of winning depend on the number of entries received. Each potential Winner’s name will be announced on-air after each drawing. Each Winner will be notified by email or telephone number provided in his or her sweepstakes entry and must sign and return Sponsor’s Affidavit of Eligibility and Release within 30 days following the effective date of Sponsor’s prize notification (the “Notification”). Failure to respond within the applicable time period will result in forfeiture of the Prize (as defined below) and Sponsor shall have the option to award the Prize to an alternate Winner. The return of the Notification or Prize as undeliverable may also result in disqualification and an alternate Winner may be selected. Sponsor is not responsible for digital communications that are undeliverable as a result of any filtering of any kind, insufficient space in a Participant’s account, or any other failure beyond its reasonable control. In the event of a dispute with respect to entries received from more than one user having the same e-mail address/account, the authorized subscriber of the account in question at the time of entry will be deemed the proper entrant. A potential Winner will also forfeit his or her Prize if he or she is disqualified as not eligible to have participated in the Sweepstakes in the first instance. Each verified Winner will receive one prize package consisting of the following: a 4-day/3-night vacation for two (2) adults (18 and older) to any one of the Sandals Resorts listed below, (recipient’s choice) (“Sandals Resorts Accommodations”) plus round-trip coach airfare tickets for two (2) adults (18 and older) to the destination (“Airfare”) (Sandals Accommodations and Airfare collectively, the “Sandals Prize Package”). Sandals Resorts Accommodations include: (i) one (1) room double occupancy, king size bed in a deluxe category room, all meals, unlimited premium brand liquors, daily & nightly entertainment, an array of land and water sports activities, including daily scuba diving (for certified divers), snorkeling, Wi-Fi in all rooms and public areas, resort taxes, resort gratuities, and Sandals Resorts transfers to and from the resort’s designated airport. Airfare includes round-trip coach airfare valid to/from the nearest major U.S. gateway of the Winner to the selected or designated resort’s airport. The tickets are valid for the Sandals Prize Package Redemption Period (as defined below). Flights will be on mutually approved dates. Winner and travel companion must travel on the same itinerary, originating from the same airport. Flights and airlines are subject to change and availability. Restrictions and blackout dates are 14 days before and after any major U.S. Holiday. Airfare for two (2) adults = US$1,000 (capped at $500 per person). Total Estimated Retail Value Sandals Prize Package = US$3,994. The Sandals Prize Package will be issued in the form of a prize certificate (the “Prize Certificate”), outlining the terms and conditions of the Sandals Prize Package and redemption procedures. The Sandals Prize Package is subject to availability and certain blackout dates including but not limited to days pre and post all major US holidays. Reservations (resort accommodations and flights) will not be confirmed until 30 days prior to the selected travel date. The Sandals Prize Package must be redeemed for travel within one (1) year from the Prize Certificate is issued (“Redemption Period”) and is not transferable or redeemable for cash. No extension will be given after the Sandals Prize Package has expired. If the Sandals Prize Package is not redeemed, the Sandals Prize Package will be forfeited. Sandals Prize Package excludes car rental, personal charges, incidentals, telephone calls, Premium Wi-Fi, Red Lane® Spa treatments and services, specialty dining, tours & excursions, inter-island transportation, SCUBA certification courses, room services, meals outside of the selected and/or designated resort, island departure taxes, purchases made at the Sandals Specialty or Gift Shops, baggage fees and customs duties personal expenses, expenses related to valid travel documents (e.g., passports), and all other expenses that are not specifically listed in the Sandals Prize Package. The Sandals Prize Package cannot be transferred, exchanged for cash, or combined with other offers. Blackout dates and other restrictions may apply. The accommodations portion of the Sandals Prize Package is subject to space availability and selected blackout dates. Unique Travel Corp, the worldwide representative for Sandals Resorts (the “Sandals Prize Package Provider”) and Sandals Resorts each reserves the right to relocate any confirmed Winner and guest from the selected resort to an alternate resort within the resort’s chain and to change dates with prior notice should circumstances so require or for any circumstance(s) beyond the resort’s control. The terms and conditions agreed to by the Winner and guest shall apply with equal applicability to any resort which is the subject of substitution or deviation. Neither Unique Travel Corp nor Sandals Resorts shall be liable for any claim made by the prize winner whatsoever, including but not limited to loss, compensation, or refund by reason of such substitution or deviation. Sponsor reserves the right to substitute an alternate Prize of comparable or equal value in its sole discretion. Acceptance of the Prize also constitutes permission to Sponsor to use the Winner's name, likeness, and biographical information (including posting the information on its website) without further compensation or right of approval, unless prohibited by law. Sponsor is not responsible for replacing or reimbursing Winner or guest with any form of compensation for flights or events that are canceled, rescheduled or delayed. All cancellations are deemed beyond the control of Sponsor. This includes, but is not limited to, event cancellations, trip schedule changes, flight cancellations, changes in travel arrangements, travel delays of any form and duration, as well as all delays or cancellations due to acts of nature, terrorism (including threats), illness or war. Additionally, Sponsor is not responsible for any work stoppage, bankruptcy or other condition beyond Sponsor’s control that may affect Sponsor’s ability to provide any of the prizes. Sponsor is not responsible for any expenses incurred by Winner or travel guest as a result of such cancellations, delays or other circumstances beyond their control. Unique Travel Corp, the Sandals Prize Package Provider, its affiliates, and parent as well as Sandals Resorts and/or Sandals Resorts related entities shall have the right to comply with any and all orders, recommendations, or directions whatsoever given by any government entity or by persons purporting to act with such authority, and such compliance shall not be deemed a breach of receipt of the Prize Package or any agreement entitling the prize winner to assert any claim for liability, compensation or refund. The health and safety of our guests is a priority. Sandals Resorts reserves the right to implement or modify health protocols, policies and procedures at any time as needed, in keeping with public health guidance and applicable law. Due to the fact that travel and tourism are constantly in a state of flux, prizewinner is advised to consult the U.S. State Department’s website at and enter the name of the country(ies) that they plan to visit for the latest information concerning traveler safety, security, and health advisories. All guests are responsible for checking the travel and entry protocols for the destination that they are travelling to before they depart and ensuring that they fully understand and comply with any such protocols. For example, some destinations, may require guests to be fully vaccinated and/or to obtain a negative PCR Covid-19 test a certain number of days pre and post travel. All guests are advised to visit the travel.gov website before travel and to check the official Government website for the country they are visiting. Neither Unique Travel Corp and/or Sandals Resorts shall not be responsible for any additional costs incurred for any required test or any other pre-travel requirements. Subject to applicable law, the Prize is offered “as is” without any express or implied warranty of any kind or nature, including without limitation, any warranty respecting condition, merchantability, quality, title, or fitness for a particular purpose. Winner must have a government-issued photo identification to claim his or her Sandals Prize Package. Winner and travel guest must sign release provided by Sponsor. All federal, state, and local income taxes resulting from acceptance of the Prize are the responsibility of Winner. Publicity Subject to applicable law, entrance in the Sweepstakes constitutes Participant’s consent to Sponsor and Sponsor’s affiliates and agents to use his or her name, voice, likeness, opinions, and biographical information for publicity purposes in any media throughout the world at any time without the obligation to seek consent or to provide Participant with any payment or other form of consideration. Participant agrees to execute any document reasonably required by Sponsor to effectuate the terms hereof and failure to do so shall give rise to Sponsor’s right to execute any and all such documents as Participant’s attorney-in-fact, which right shall be coupled with an interest and therefore, irrevocable. Release Subject to applicable law, by entering into a Sweepstakes and potentially receiving a Prize, each Participant agrees to release, discharge, and hold harmless Sponsor, along with Sponsor’s employees, officers, directors, affiliates, partners, agents and assigns, from and against any claim, cause of action, demand, or proceeding (each, a “Claim”), and any resultant loss, injury (including death), cost, expense, fee, fine, penalty, or other loss or expense of any kind, including attorneys’ fees (each, a “Loss”), relating to or arising directly or indirectly out of his or her participation in a Sweepstakes (or related activity such as a press release), and/or Sponsor’s right to exploit Participant’s name and/or likeness or fully exploit any other right granted to it hereunder, and/or from Participant’s receipt, use, or misuse of any Prize, no matter how such Claim or Loss arises (including without limitation, if arising out of any damage to a Participant’s computer system from downloading or using material from Sponsor’s, or an affiliate of Sponsor’s, website). Limitation of Liability IN NO EVENT WILL SPONSOR, AND/OR SPONSOR’S PARENT, SUBSIDIARY, LICENSEES, EMPLOYEES, AGENTS, OFFICERS, DIRECTORS, ASSIGNS, AFFILIATES, OR RELATED COMPANIES (COLLECTIVELY WITH SPONSOR, THE “SPONSOR PARTIES”), BE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTAL, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS) ARISING OUT OF ANY PARTICIPANT’S PARTICIPATION IN THE SWEEPSTAKES, THESE OFFICIAL RULES, AND/OR ANY PARTICIPANT’S RECEIPT, USE, OR MISUSE OF A PRIZE, NO MATTER UNDER WHAT THEORY ARISING, EVEN IF ANY SPONSOR PARTY HAS BEEN ADVISED OF THE POSSIBLY OF SUCH DAMAGES. SPONSOR PARTIES’ ENTIRE LIABILITY WITH RESPECT TO: ANY PARTICIPANT’S PARTICIPATION IN THE SWEEPSTAKES, THESE OFFICIAL RULES, AND/OR ANY PARTICIPANT’S RECEIPT OF A PRIZE SHALL BE LIMITED TO $500. Dispute Resolution ACCEPTANANCE OF THE SANDALS PRIZE PACKAGE PROVIDES FOR THE EXCLUSIVE RESOLUTION OF DISPUTES THROUGH INDIVIDUAL LEGAL ACTION AND SUPERSEDES ANY LAW ENTITLING GUEST TO PARTICIPATE IN A CLASS ACTION. THIS CLASS ACTION WAIVER PRECLUDES GUEST FROM PARTICIPATING IN OR BEING REPRESENTED IN ANY CLASS OR REPRESENTATIVE ACTION REGARDING ANY CLAIM BROUGHT UNDER AS A RESULT OF THESE TERMS AND CONDITIONS. EVEN IF APPLICABLE LAW PROVIDES OTHERWISE, GUEST AGREES THAT ANY ARBITRATION OR LAWSUIT AGAINST UNIQUE TRAVEL CORP WHATSOEVER SHALL BE LITIGATED BY GUEST INDIVIDUALLY AND NOT AS A MEMBER OF ANY CLASS OR AS PART OF A CLASS ACTION, AND GUEST EXPRESSLY AGREES TO WAIVE AUTHORITY TO ARBITRATE CLAIMS ON A CLASS ACTION BASIS. THE VALIDITY AND EFFECT OF THIS CLASS ACTION WAIVER MAY BE DETERMINED ONLY BY A JUDGE OR COURT OF LAW.
